Hainan Airlines Holding Co., Ltd. (hereinafter referred to as "Hainan Airlines") plans to dispose of self-owned B787-8 aircraft on its fleet. Hainan Airlines will determine the shortlisted entities for negotiation through an open invitation for quotations, and will determine the winning bidder(s) through competitive negotiation and price comparison. All interested parties are hereby invited to register to participate in the quotation and competitive negotiation.

**航空9架B787-8自有飛機(jī)，其中有6架確定對外處置，預(yù)計最快可于2025年開始飛機(jī)交付。處置方式包括和不限于直接出售/出租或先出租后出售。另余3架飛機(jī)可供**航空選擇對外處置。

Hainan Airlines plans to dispose of 6 self-owned B787-8 aircraft. The delivery is expected to commence as early as 2025. The disposal methods include, but are not limited to, direct sale, lease, or lease followed by sale. Hainan Airlines has 3 additional self-owned B787-8 aircraft that may also be considered for disposal at Hainan Airlines’ sole discretion.

Hainan Airlines will prioritize the disposal of B787-8 aircraft on an “as is, where is” condition. The Hainan Airlines will give preference to parties who will send the titled engines of these aircraft to Hainan HES for shop visit or who is interested in acquiring multiple aircraft at once.

參與報價和競爭性談判的各意向方應(yīng)承擔(dān)其報價文件準(zhǔn)備與遞交等涉及的一切費(fèi)用，不管報價和競爭性談判結(jié)果如何，全部費(fèi)用由各意向方負(fù)擔(dān)，各意向方的報價文件均不退回。

All interested parties participating in the quotation and competitive negotiation shall bear all costs for the preparation and submission of their quotation documents. Regardless of the result of the quotation and competitive negotiation, all costs shall be borne by the interested parties, and the quotation documents of each interested party will not be returned.

本項目邀請報名、報價和競爭性談判流程由**航空制定，報價規(guī)則將在后續(xù)的競爭性談判邀請書中確定。在確定入圍飛機(jī)承接方后，**航空將通過競爭性談判和比價方式確定最終飛機(jī)承接方。

The registration, quotation, and competitive negotiation process for this project is formulated by Hainan Airlines. The quotation rules will be determined in the subsequent invitation letter for competitive negotiation. After determining the shortlisted prospective buyers, Hainan Airlines will determine the final winning bidder(s) through competitive negotiation and price comparison.

（一）邀請報名

各意向方按照本公告列明的報名要求提交資質(zhì)材料并完成報名

All interested parties must submit their qualification materials and complete the registration following the Registration Requirements in this announcement.

（二）邀請報價

Invitation for Quotation

在完成B787-8飛機(jī)處置報名意向方資質(zhì)初審后，**航空將對符合要求的各意向方發(fā)出競爭性談判邀請書，明確報價規(guī)則與具體要求，邀請各意向方進(jìn)行首輪報價。

After the preliminary review of the qualifications of the interested parties registered for the B787-8 aircraft disposal, Hainan Airlines will send a request for proposal via email specifying the quotation rules and detailed requirements, and inviting the qualified interested parties to submit their initial quotations.

（三）意向方入圍

Shortlisting of Interested Parties

本著“公平、公正”原則，**航空將結(jié)合意向方擬承接飛機(jī)架數(shù)、價格、交付時間和交付條件等因素，確定入圍意向方，進(jìn)入下一階段競爭性談判和比價環(huán)節(jié)。

In line with the principles of "fairness and justice," Hainan Airlines will determine the shortlisted interested parties based on factors such as the number of aircraft intended to be taken, price, delivery time, and delivery conditions, and invite them to proceed to the next stage of competitive negotiation and price comparison.

（四）確定最終飛機(jī)承接方

Determining the Final Winning Bidder(s)

**航空將與入圍意向方進(jìn)行競爭性談判和比價，綜合評估并確定最終飛機(jī)承接方。

Hainan Airlines will conduct competitive negotiation and price comparison with the shortlisted prospective buyers, comprehensively evaluate, and determine the final winning bidder(s).

三、報名要求

Registration Requirements

（一）意向方報名資質(zhì)材料要求：

Qualification Materials for Interested Parties:

1.公司基本信息：注冊地、經(jīng)營范圍、股權(quán)結(jié)構(gòu)、控股股東/子公司/關(guān)聯(lián)企業(yè)情況、董事會及高管團(tuán)隊名單。

Basic information: Place of registration, business scope, equity structure, information of controlling shareholder / subsidiaries / affiliates, and list of board members and senior management.

2.公司資質(zhì)材料：營業(yè)執(zhí)照、法定代表人資格證明書（如有）、授權(quán)委托書（如涉及）。

Qualification materials: Business license, certificate of legal representative (if any), power of attorney (if applicable).

3.公司運(yùn)營及財務(wù)狀況：近三年經(jīng)審計財務(wù)報告。

Operating and financial status: Audited financial reports for the past three years.

4.公司團(tuán)隊能力和資質(zhì)，包括不限于：高管團(tuán)隊從業(yè)經(jīng)驗、穩(wěn)定性、行業(yè)口碑。

Team capabilities and qualifications, including but not limited to: Senior management team's industry experience, stability, and reputation.

5.與**航空歷史**情況：包括不限于：與**航空整體****公司）。

Historical cooperation with Hainan Airlines: Including but not limited to: overall cooperation with Hainan Airlines (including subsidiaries).

6.參與本次交易的背景情況及要求：包括但不限于交易目的和后續(xù)飛機(jī)用途/去向，意向飛機(jī)架數(shù)及交易模式，資金來源和證明，對飛機(jī)交付的時間要求。

Background and requirements for participating in this transaction: including but not limited to the purpose of the transaction and subsequent aircraft use/destination, number of desired aircraft and transaction type, funding source and the supporting documents, and delivery time requirements for the aircraft.

7.簽署完畢的附件2保密協(xié)議。

Signed Appendix 2 Non-Disclosure Agreement。

8.其他資料：企業(yè)簡介、一般納稅人證明、銀行信用等級證書等或**航空要求的其他材料。

Other materials: company profile, general taxpayer certification, bank credit rating certificate, etc., or other materials required by Hainan Airlines.

報名截止時間為2025年3月18日17時30分（**時間），各意向方應(yīng)在報名截止時間**行報名。意向買方應(yīng)填寫附件1《**航空B787-8飛機(jī)處置項目報名表》，簽署附件2《保密協(xié)議》，并連同報名資質(zhì)材料一并通過電子郵件發(fā)送至**航空指定郵箱****@hnair.com 和****@hnair.com。逾期報名或報名資料嚴(yán)重不全者**航空將不予接受，相關(guān)責(zé)任由各意向方自行承擔(dān)。

The registration deadline is 17:30 on 18 March 2025 (Beijing Time). Interested parties should register before the deadline. Interested buyers should complete Attachment 1 Hainan Airlines B787-8 Aircraft Disposal Project Registration Form and sign Attachment 2 Confidentiality Agreement, and send them together with the registration qualification materials to the email designated by Hainan Airlines (****@hnair.com and ****@hnair.com). Late registration or severely incomplete registration materials will not be accepted by Hainan Airlines, and the relevant responsibilities will be borne by each interested party.
